Ryder Terms of Service

 TERMS OF SERVICE 


THESE TERMS OF SERVICE (“Agreement”) set out the terms and conditions governing your access to and use of:

  1. The Ryder One hardware wallet (as defined below);

  2. The Ryder App (as defined below);

  3. The Ryder Recovery Services, including TapSafe (as defined below); and

  4. The Platform and the Website (each as defined below). 


By using the Ryder One device, the Ryder App, enabling or relying on TapSafe or other recovery features and/or accessing the Platform and Website, you confirm that you have read and understood this Agreement, as well as the Product Documentation and Ryder Privacy Policy (as defined below). You further acknowledge and agree that you intend to, in your capacity as a User (as defined below), enter into this Agreement, as a legally binding and enforceable contract, with Light Labs Pte. Ltd. doing business as Ryder, a company incorporated under the laws of Singapore, having its registered office at 160 Robinson Road #14-04 Singapore Business Federation Centre, Singapore 068914 (UEN: 202037760R) (“Ryder”, “Our”, “Us”, or “We”), which owns, controls, and operates the Platform and the Website, on the Terms herein contained and any amendments that may from time to time be made without prior notice or reference to you. 


  1. Definitions: For the purposes of this Agreement, the following Terms shall have the meanings set forth below, unless the context otherwise requires: 


“Cloud” or “Cloud Storage” refers to online data storage provided by third-parties.


“Cold Wallet” or “Cold Storage” refers to the offline method of storing Private Keys securely in a non-internet-connected environment, such as the Ryder One hardware device;


“Content” refers to any information, materials, text, graphics, software, data, social media posts or other content that is made available through the App, the Platform or the Website;


“Digital Payment Token” (“DPT”) has the meaning ascribed to it under the Payment Services Act 2019 of Singapore;


“Force Majeure” refers to any event or condition beyond the reasonable control of Ryder, which prevents Ryder from performing its obligations under this Agreement, including but not limited to acts of God, war, riots, epidemics, cyberattacks, or power outages;


“GDPR” refers to General Data Protection Regulation (Regulation (EU) 2016/679);


“Recovery Contact” refers to a trusted contact designated by the User to hold one or more encrypted TapSafe recovery shares on their mobile device via the Ryder App;


“MAS” refers to the Monetary Authority of Singapore;


“Parties” refer to the User and Ryder and “Party” refers to either one of them individually;


“PDPA” refers to Personal Data Protection Act 2012 of Singapore; 


“Personal Data” means any information relating to an identified or identifiable individual, as defined under the Personal Data Protection Act 2012 (PDPA) of Singapore and, where applicable, the General Data Protection Regulation (GDPR) or other relevant data protection laws. This includes, without limitation, name, contact information, device identifiers, and usage data, collected or processed by Ryder in connection with your use of the Ryder One, the Ryder App, the Platform, or the Website, as further described in the Ryder Privacy Policy;


“Platform” refers collectively to the Ryder ecosystem comprising the Ryder One hardware wallet, the Ryder App (mobile), TapSafe social recovery, backend infrastructure, APIs, interfaces, and any other Services or features offered by Ryder;  


“Private Key” refers to a cryptographic key used to authorise transactions and access blockchain-based digital assets which is stored securely within Ryder One and not known to Ryder as previously defined; 


“Product Documentation” means the official guides, setup instructions, terms of use and technical resources relating to Ryder One accessible via the Website or App and which may be updated by Ryder from time to time;


“Product” refers to the Ryder One, its accessories and related offerings distributed or sold by Ryder; 


“PSA” refers to the Payment Services Act 2019 of Singapore;


“Recovery Tag” refers to an ultra-durable, battery-free NFC device provided with Ryder One that securely stores one or more encrypted TapSafe recovery shares;


“Ryder API” refers to the application programming interface developed and maintained by Ryder, which enables communication between the Ryder App and backend Services. It facilitates the retrieval of wallet-related data such as balances and transaction history by querying blockchain addresses. To optimise performance and reduce reliance on third-party services, the Ryder API may store queried blockchain data in a local database, reflecting the immutable nature of blockchain transactions;


“Ryder App” refers to the companion mobile application that interfaces with the Ryder One to facilitate transactions, device management and recovery options;


“Ryder One” refers to the physical hardware wallet device developed and distributed by Ryder, used for securely storing and managing private cryptographic keys;


“Ryder Privacy Policy” refers to the privacy policy accessible at https://ryder.id/policies/privacy-policy;


“Service” or “Services” refers to all features, functionalities, applications, tools and support provided by Ryder in connection with the Ryder One, Ryder App, TapSafe and Website;


“Subscription” refers to any paid or free plan that may be offered by Ryder in the future to provide access to certain features or premium services;


“TapSafe” refers to Ryder’s social recovery protocol that splits your wallet’s recovery data into multiple encrypted shares and distributes them across Recovery Tags, the Ryder App, and/or designated trusted contacts (“Recovery Contacts”), so that a threshold number of shares is required to reconstruct your Private Keys if you lose access to your Ryder One wallet;


“Terms” refers to these Terms of Service, including any additional guidelines, policies, and notices incorporated by reference;


“Third-Party” refers to any person or entity not controlled by Ryder, including but not limited to services providers, blockchain networks, or integrated software tools; 


“User”, “You” or “Your” refers to any individual or entity that uses the Ryder One device or any part of the Services provided by Ryder under this Agreement;


“Warranty” refers to the limited warranty covering Ryder One hardware, as specified in the Product Warranty Statement available on the Website;


“Website” refers to the Ryder website accessible at the following URL: https://ryder.id/.


Words denoting the singular number shall include the plural number and vice versa and references to the masculine include the feminine and vice versa.


Do note that the headings in this Agreement are inserted for convenience only and shall be ignored in construing this Agreement. 


Product and Services Overview


  1. About Ryder One: Ryder One is a hardware wallet meticulously engineered to provide a highly secure and user-friendly solution for the storage, management and protection of private cryptographic keys associated with digital assets such as cryptocurrencies and tokens. Developed by Ryder, the device embodies industry-leading security protocols and rigorous quality controls to safeguard Users’ digital assets against hacking, theft, malware and unauthorised access. 


As a non-custodial hardware wallet, Ryder One ensures that Private Keys remain strictly under the User’s control at all times, stored securely offline within the device’s tamper-resistant environment. Ryder, as the manufacturer and Service provider does not hold or have access to any User Private Keys, passwords or recovery phrases, nor does it facilitate custody or management of digital assets on behalf of Users. This architecture aligns with best practices recommended by cybersecurity experts and complies with applicable Singaporean regulations governing data privacy and digital asset security. 


The device is designed to support a broad range of blockchain protocols and digital asset types, allowing Users to consolidate asset management within a single, secure physical device. Ryder One is intended for both individual and institutional Users who prioritise asset security and privacy.  


  1. Features of Ryder One: On accepting this Agreement, and the Ryder Privacy Policy, Users gain access to the full suite of Ryder One features, including, but not limited to the following: 


  1. Cold Storage security


Private Keys generated and stored exclusively within the isolated hardware environment of Ryder One, preventing exposure to internet connected devices and thereby significantly reducing the risk of compromise. 


  1. Comprehensive multi-asset support


Ryder One is designed to support a wide range of major cryptocurrencies and digital assets. The device’s firmware and companion Ryder App are regularly updated to incorporate compatibility with new digital assets and blockchain networks as they emerge within the industry. 


For a complete and up-to-date list of supported cryptocurrencies, tokens, and blockchain protocols, Users are advised to consult the Website. Ryder makes reasonable efforts to maintain the accuracy of this list; however, the availability of support for specific assets may change over time due to technical, regulatory, or security considerations. 


Users acknowledge and agree that it is their responsibility to verify whether their desired digital assets are supported by Ryder One prior to use.


  1. Secure transaction signing


All transaction approvals and cryptographic signing are conducted directly on the device, requiring explicit User confirmation via the Secure buttons. The Secure Button is physically connected to the device’s Secure Element chip and is isolated from the general-purpose hardware, ensuring that sensitive keys never leave the device and that transaction authorisation cannot be spoofed or compromised via the touch display.  This design ensures Users retain ultimate control over transaction authorisation. 


  1. Tamper-evident and resistant hardware


The device incorporates hardware-based security features designed to help detect and deter unauthorised physical access or tampering. These include:


  1. A Secure Element (SE) that stores Private Keys, signs transactions, and generates TapSafe recovery data.

  2. A Secure Button directly connected to the Secure Element, used for confirming sensitive actions. This button operates independently from the general-purpose components of the device.

  3. Secure LEDs, controlled by the Secure Element, that indicate sensitive operational states and may display alerts in the event of detected inconsistencies.

  4. A sealed and portless design, including water resistance, wireless charging, and Near-Field Communication (NFC) only communication, with no physical ports or additional buttons. 

These features are intended to enhance the security and integrity of the device, but no hardware security system is infallible. Users remain responsible for safeguarding their devices against loss, damage, or compromise.

  1. Firmware integrity and updates


Ryder regularly provides digitally signed firmware updates designed to enhance device functionality, patch security vulnerabilities, and introduce new features. Users must verify and install these updates via the Ryder App to maintain optimal security posture.


  1. User-friendly interface


The combination of the Ryder One hardware display and companion Ryder App delivers an intuitive and accessible user experience suitable for both novice and experienced Users. Clear on-screen instructions, transaction details, and alerts help Users avoid common errors.


  1. Backup and recovery mechanisms


Ryder One incorporates comprehensive backup and recovery mechanisms designed to safeguard Users’ digital assets and ensure accessibility in the event of device loss, damage, or theft:

  1. Recovery Seed Phrases: While Ryder One primarily relies on its TapSafe social recovery protocol, it also supports the secure generation and storage of recovery seed phrases in compliance with widely recognised industry standards, including BIP39. These seed phrases consist of a sequence of 12, 18, or 24 words that act as a master key, allowing Users to restore access to their wallet and associated digital assets if the physical device is lost or becomes unusable.


  1. Seed Phrase Storage: All recovery seed phrases are generated offline within the device and securely stored in a protected environment, thereby minimising exposure to external threats or unauthorised access. 


  1. TapSafe Social Recovery Protocol: Ryder One features TapSafe is a Ryder-developed social recovery protocol that enables Users to securely backup and restore their wallet by splitting their recovery data into multiple encrypted pieces (“shares”). These shares can be stored across different locations or devices, for instance on the Recovery Tag or within the Ryder App on the User’s phone. For full details, please refer to Clause 5.  


  1. Multi-Layer Security Protections: Backup and recovery functions are secured through multiple layers of protection, including PIN authentication, hardware encryption, and secure element storage. Additionally, Ryder One securely pairs with the User’s mobile device, and all communication between the Ryder One and the Ryder App is encrypted. This pairing ensures that only the authenticated device can issue commands to the Ryder One and allows the system to leverage the User’s existing phone-level security features (such as FaceID, TouchID, or phone PIN) as part of the overall protection framework. These safeguards are designed to ensure that only authorised Users can initiate or complete recovery procedures.


  1. Recovery Process: The recovery process balances user-friendliness with robust security measures. Users may restore access to their wallet either by entering a BIP39-compliant recovery seed phrase, or by initiating the TapSafe recovery process, which reconstructs access through a threshold combination of encrypted shares. Social recovery via designated trusted individuals is optional but supported. Refer to Clause 5 for details on TapSafe recovery flows.


  1. Ongoing Updates: Ryder One may periodically update its backup and recovery protocols, including TapSafe, to address emerging security considerations and align with evolving industry standards. Such updates are intended to help maintain a high level of protection for Users’ digital assets, although the timing and scope of updates may vary.


  1. Privacy by Design 

Ryder One is designed with User privacy as a fundamental principle. The Platform collects only minimal metadata in compliance with the PDPA 2012 of Singapore where applicable, the GDPR. All data collection is conducted with the explicit consent of the User and is limited to what is strictly required for operational functionality and security. For further details, please refer to the Ryder Privacy.

While the Ryder App connects to the Ryder API to retrieve blockchain-related data, such as wallet balances, transaction history, and exchange rates, this data is not linked to any personal identifiers by default. However, it is technically possible for such information to be associated with network metadata, such as IP addresses, depending on the User's environment and device configuration.


The App also uses third-party tools including:


  1. Sentry, for application monitoring and error tracking, which collects diagnostic metadata for instance, device model and OS version to detect bugs and performance issues; and


  1. Mixpanel, an analytics service used to monitor anonymised usage patterns and events for instance, onboarding completion and NFC usage failures. This is to help improve User experience.


Ryder does not directly associate these data points with individual identities or wallet addresses unless required for technical troubleshooting, compliance, or legal obligations.

No Personal Data or transaction history is shared with third parties without prior User consent, except where required by applicable law. Ryder remains committed to minimising data collection, using encryption and security best practices, and respecting Users’ expectations of privacy wherever reasonably possible.

Ryder may update or replace the third-party tools it uses from time to time, provided that any such tools remain subject to Ryder’s data handling and privacy standards.

  1. No custodial responsibility 

As a non-custodial solution, Ryder One expressly disclaims responsibility for lost or stolen assets due to User negligence, loss of recovery phrases, or third-party fraud.


  1. About Ryder App: 


The Ryder App 


The Ryder App is the official companion software developed by Ryder for use exclusively with the Ryder One hardware wallet. It is available for download on supported mobile platforms, including iOS and Android. Device compatibility requirements and operating system support are further specified on the Website and may be updated from time to time. The App serves as the primary interface through which Users interact with their Ryder One device and perform wallet management functions. These include, but are not limited to:


  1. Connections between the Ryder App and the Ryder One hardware wallet are established exclusively via NFC. Bluetooth is not used or supported. This design choice enhances security by reducing wireless exposure and ensuring close-proximity interactions between the device and the User’s smartphone;

  2. Viewing real-time digital asset balances, transaction histories, and activity logs;

  3. Initiating, signing, and broadcasting blockchain transactions, subject to explicit User authorisation via the hardware device;

  4. Managing wallet preferences, such as device security settings and access controls;

  5. Installing firmware updates provided by Ryder to ensure optimal performance and patch known vulnerabilities; 

  6. Accessing asset-specific features by integrating with supported blockchain networks, tokens, and decentralised applications; and 

  7. Accessing additional Services such as digital asset swaps, staking, and on/off-ramp functionality, which may be made available in future versions of the Ryder App through integrations with third-party service providers. Use of such features may be subject to separate terms and conditions imposed by those third parties, which Users may be required to accept prior to access.


The Ryder App is engineered with stringent security protocols, including secure key exchange and the establishment of a persistent encrypted “secure channel” between the App and the Ryder One device. This ensures confidentiality, integrity, and non-repudiation of communications between the App and the Ryder One device. The App operates on a minimal data collection policy in compliance with the PDPA 2012 of Singapore and where applicable, the GDPR. The App only retains the metadata necessary to facilitate secure operations and improve User experience. For details on diagnostic and analytics tools used, including Sentry and Mixpanel, please refer to Clause 3(h). 


  1. About TapSafe


TapSafe is Ryder’s social recovery protocol integrated within the Ryder App. It enables Users to generate multiple encrypted backup shares of their recovery secret using secure secret-sharing methods. These shares can be stored in different locations, such as:

  • A Recovery Tag (included with the device);

  • The User’s mobile device (via the Ryder App); and

  • Recovery Contact’s devices.


TapSafe supports both self-managed and socially distributed recovery. A minimum of two full shares are required to reconstruct the wallet and regain access to digital assets. Shares stored by trusted individuals via the Ryder App for instance, Recovery Contacts represent partial shares for instance, 0.5 each, and must be combined to meet the required threshold for recovery.


This architecture allows recovery in case of loss, theft, or device failure without exposing Private Keys or seed phrases. TapSafe significantly reduces reliance on single-point seed phrase backups and offers a flexible, user-friendly recovery experience. Importantly, no single party ever holds enough information to unilaterally reconstruct the User’s Private Keys, thereby enhancing security and decentralisation. 


While the recovery threshold is fixed (a minimum of two shares), Users can enhance redundancy by increasing the number of backup shares for instance, by purchasing additional Recovery Tags or distributing social recovery shares to more trusted Recovery Contacts.


Together, the Ryder App and TapSafe deliver a comprehensive ecosystem balancing security, usability, and recoverability, empowering Users to confidently manage their digital assets.


  1. Staking Services: Ryder One may offer staking functionality for supported tokens through third-party integrations made available via the Ryder App. These Services, when available, are provided by independent third-party providers and are subject to their respective terms and conditions. Access to staking may require Users to accept additional terms prior to use. Users acknowledge that staking involves risks, including but not limited to the potential loss of staked tokens, and agree to participate at their own risk.


  1. Fiat Services: Fiat on-ramp and off-ramp functionality may be made available through third-party providers integrated with the Ryder App. Such Services, when offered, are operated independently of Ryder and subject to the terms, privacy policies, and regulatory compliance obligations of the respective providers. Ryder does not control and is not responsible for the provision, performance, or security of these third-party services, and Users must review and accept any applicable third-party terms prior to accessing such features.


Eligibility and Use of the Platform 

  1. Eligibility: 


By accessing, purchasing, or using Ryder One, the Ryder App, or any of the Platform, you acknowledge, represent and warrant to Ryder on a continuing basis, that:

  1. You are at least eighteen (18) years of age in Singapore, or have otherwise attained the age of majority under the laws applicable in your country of residence (whichever is greater), and possess full legal capacity to enter into and be bound by these Terms;

  2. You are not a citizen or resident of any jurisdiction where the possession, distribution, sale, or use of cryptographic wallets, self-custody solutions, or blockchain-based services is restricted or prohibited by applicable laws, regulations, or administrative guidance;

  3. You are not a person or entity listed on any sanctions or restricted persons list maintained by MAS, the United Nations, the European Union, the United Kingdom, or the United States (including the Office of Foreign Assets Control (OFAC)), nor are you acting on behalf of such a person or entity;

  4. If you are acting on behalf of a legal entity, you are duly authorised to bind that entity, and such entity is validly incorporated, in good standing, and fully compliant with all relevant legal obligations;

  5. You will only use the Platform for lawful purposes and in accordance with all applicable laws and regulations, including but not limited to anti-money laundering (AML), counter-terrorism financing (CTF), anti-bribery, data protection, and financial services regulations; and

  6. You acknowledge and accept that Ryder does not provide custodial, brokerage, legal, financial, or investment advisory services of any kind, and that you are solely responsible for any decisions made in connection with your digital assets or use of the Platform.


  1. Wallet setup and access: 


In order to access and use the Ryder App and associated Services:


  1. Users are not required to register an account. Instead, access to the Platform is based on the creation of a cryptographic wallet in conjunction with the Ryder One device and the Ryder App. Ryder does not store Private Keys, recovery information or wallet credentials as outlined in Clauses 2 to 5.

  2. Wallet pairing occurs via secure NFC between the Ryder One and the User’s mobile device. Only authenticated devices may interact with the hardware.

  3. Users must establish local authentication for instance, PIN or biometrics on the Ryder App to unlock wallet functions.

  4. All key generation and recovery operations are performed offline within the secure element of the Ryder One, with recovery options managed pursuant to Clause 5.

  5. Ryder reserves the right to refuse you access to the Platform if you have been or are in violation of these Terms;

  6. Users are solely responsible for maintaining the security of their credentials, including their recovery seed phrase, PIN, passcode, TapSafe Recovery Contact assignments, and any other access mechanisms. Ryder shall not be held liable for any loss of access or assets resulting from failure to properly store or protect such credentials;

  7. Ryder shall not be liable for any loss or damage arising from a User’s failure to maintain the security of their wallet or to comply with this Term; and

  8. Users must be at least 18 years of age or possess legal capacity in their jurisdiction to enter into binding agreements. Use of the Services by minors without verifiable parental consent is prohibited.


  1. Know Your Customer (KYC) and AML Compliance: Ryder reserves the right, in its sole discretion but WITHOUT OBLIGATION to:

    1. Conduct due diligence, identity verification, or other KYC procedures on Users prior to granting access to certain Services or features of the Platform;

    2. Request and verify such information, including personal identification documents or organisational records, as may be required to satisfy internal risk controls or to comply with applicable laws or lawful requests from regulatory authorities; and

    3. Restrict, suspend, or terminate access to the Platform where a User fails or refuses to provide information, or where Ryder has reason to believe the User’s activity poses legal, operational, or reputational risk.

All Personal Data collected under this Clause shall be processed in accordance with Ryder Privacy Policy and the PDPA 2012 of Singapore.

  1. Regulatory Compliance 


Ryder does not provide DPT services, account-based custodial services, or any form of regulated payment services as defined under the PSA 2019 of Singapore or any comparable legislation in other jurisdictions.


The Ryder One, the Ryder App, and all related Services are strictly non-custodial. Users retain sole control over their Private Keys, digital assets, and recovery credentials at all times. At no point does Ryder access, hold, manage, or store any User funds or private cryptographic information on behalf of Users.


Users acknowledge that Ryder is not a payment service provider, financial institution, broker-dealer, or virtual asset service provider, and that the Platform does not facilitate fiat-to-crypto or crypto-to-fiat conversions, token issuance, trading, or custodial services.


By using the Platform, you agree that you are solely responsible for determining whether and how local laws or regulations apply to your use of the Ryder One, the Ryder App, or TapSafe functionality. You must ensure that your use of the Products does not breach any applicable legal or regulatory obligations in your jurisdiction.


User Rights and Responsibilities 

  1. Your Responsibilities

You are solely and entirely responsible for your use of the Platform including Ryder One, Ryder App, and TapSafe alongside ensuring compliance with these Terms and all applicable laws, regulations, and industry standards. Your responsibilities include, but are not limited to, the following:


  1. Security of Access Credentials

You must take all reasonable precautions to safeguard your Private Keys, seed phrases, passcodes, PINs, and any other security credentials that control access to your digital assets. Ryder strongly recommends configuring TapSafe recovery features and setting up trusted Recovery Contact. Failure to properly configure these features may result in irreversible loss of access to your wallet and digital assets. Ryder accepts no liability for any loss arising from misconfiguration, loss of access credentials, or failure to activate optional security features.


  1. Device and Network Compatibility

It is your responsibility to ensure that Ryder One and Ryder App are compatible with the blockchain networks, tokens, or decentralised applications with which you choose to interact. Ryder shall not be held liable for any asset loss, transaction failure, or operational disruption arising from incompatibility or use with unsupported networks or the transmission of digital assets to incorrect, incompatible, or misconfigured wallet addresses. 


  1. Lawful Use

You shall use the Platform strictly for lawful purposes. You must not, whether directly or indirectly, use the Platform to facilitate or engage in any activity that is unlawful, prohibited, or in breach of applicable regulations including, but not limited to, money laundering, terrorist financing, fraud, sanctions evasion, or the unlawful offering or trading of securities.


  1. Tax Compliance

You are responsible for determining and fulfilling any tax obligations arising from your ownership, use, or transfer of digital assets. This includes all reporting, filing, and payment requirements under the relevant laws of your jurisdiction. Ryder does not offer tax advice and disclaims all liability in this respect.


  1. Confidentiality and Device Integrity

You must maintain the confidentiality of your access credentials and take all reasonable steps to prevent unauthorised access to your Ryder One and associated wallets. You are required to notify Ryder promptly upon becoming aware of any breach of security, unauthorised access, or suspicious activity related to your wallet or device.


  1. Technical Maintenance

You must ensure that your personal devices are compatible with the Ryder App and that your software and firmware are kept up to date. Ryder disclaims responsibility for any issues caused by outdated or unsupported devices or systems.


  1. Prohibited Conduct: 

You as a User must not: (i) misuse the Platform, including through hacking, phishing, malware, or attempts to gain unauthorised access; (ii) attempt to modify, reverse-engineer, decompile, or disassemble any part of the Ryder One firmware, Ryder App, or TapSafe systems; and/or (iii) engage in any activity that may damage, disrupt, or degrade the integrity of the Platform, or harm Ryder’s infrastructure, Services, Users, or reputation.


Ryder shall not be liable for any damage, loss, or liability arising from your negligence, non-compliance with these Terms, or misuse of the Platform. You as the User bear sole responsibility for the proper use and security of your digital assets and associated tools.

  1.  Use of the Services: Users agree to use the Services solely for lawful purposes and in compliance with this Agreement, applicable laws, regulations, and any other policies published by Ryder. Users must not:


  1. Use the Services in any manner that could damage, disable, overburden, or impair any part of the Ryder App or hardware;

  2. Attempt to gain unauthorised access to any systems, networks, or data associated with the Services;

  3. Reverse engineer, decompile, or disassemble any part of the Services, or bypass any technical measures implemented for security or integrity;

  4. Use the Services for any unlawful, fraudulent, or malicious purpose, including to store, transfer or transmit digital assets in violation of applicable sanctions or anti-money laundering laws; 

  5. Upload or transmit any viruses, malware, or harmful code; and

  6. Interfere with the access, use, or enjoyment of the Services by others.


Ryder reserves the right to investigate any breach of this Clause and to take appropriate action, including termination of access, legal recourse, and cooperation with law enforcement authorities. 


  1. Right to refuse or terminate access: Ryder retains the unilateral right, at any time and without prior notice, to:


  1. Refuse access to the Platform, or any part thereof, to any person or entity;

  2. Suspend, restrict, or terminate a User’s ability to access or use the Ryder App, Ryder One device, or any related Services, including where Ryder reasonably suspects breach of these Terms, breach of law, fraud, unauthorised access, or a threat to security; and 

  3. Take such other actions as Ryder deems appropriate in order to comply with applicable law, its contractual obligations, or internal risk management policies.


Ryder shall not be liable to any User for the exercise of its rights under this Clause, to the fullest extent permitted by law.


  1. Term Termination


These Terms shall apply from the moment you first access or use Ryder One and shall remain in force unless and until terminated in accordance with this Term. Ryder may, at its sole discretion and with or without prior notice, suspend or terminate your access to the Platform (in whole or in part) immediately if: 


  1. You breach any provision of these Terms;

  2. Ryder suspects unauthorised, unlawful, fraudulent, or abusive activity on your part;

  3. Continued access to the Platform becomes technically, commercially, or legally impracticable; and/or

  4. Required by law, regulation, or competent authority.


Upon termination:


  1. Certain Services or features provided through the Ryder App may become limited or unavailable; however, your Ryder One hardware device remains self-custodial and may continue to operate independently, including with compatible third-party applications;

  2. Ryder may delete or anonymise any metadata or other information collected via your use of Ryder One, subject to legal and regulatory obligations; and

  3. You are solely responsible for ensuring that any critical information (such as recovery phrases or TapSafe credentials) has been securely stored prior to termination.


Termination shall not affect any accrued rights, liabilities, or obligations that may have arisen prior to the effective date of termination


Order and Payments


  1. Order and Payments: The Ryder One and related accessories, are stated in Singapore Dollars (SGD) and include prevailing Goods and Services Tax (GST) or any other applicable local taxes, unless otherwise indicated. Ryder accepts payments via all major credit cards or debit card (Visa, Mastercard, or other approved processors), PayNow, and other approved payment processors, as the case may be. While Ryder One does not currently accept cryptocurrency payments, such options may be introduced in the future. Orders placed through the Website are considered confirmed only upon successful receipt of full payment. In the future, Ryder may also enable purchases through authorised partners, which will be clearly listed on the Website as applicable. Ryder reserves the right to cancel any unpaid or partially paid orders without notice. Ryder shall not be responsible for any failed or delayed payments due to third-party payment gateway issues, blockchain congestion, incorrect payment details, or network errors.


  1. Shipping and Delivery: Ryder currently ships the Ryder One and related products within Singapore and internationally, except to jurisdictions subject to trade restrictions, sanctions, or export controls including, but not limited to, OFAC-sanctioned countries. The list of available shipping destinations is determined at checkout and may be updated from time to time at Ryder’s discretion. Although all items are shipped within 3 business days from our factory or logistics partner, exact shipping times are not provided, but rather are estimates only and may vary due to courier delays, customs inspections, or force majeure events. Ryder does not guarantee delivery dates and shall not be held liable for delays outside its control. The risk of loss or damage to the product transfers to you upon delivery to the address specified during checkout. It is your responsibility to ensure the accuracy of shipping information. For international orders, you are solely responsible for any customs duties, import taxes, handling fees, or other charges imposed by the destination country. Ryder shall not be responsible for such charges or any delays caused by customs authorities.


  1. Returns and Refunds: Unopened and unused Products may be returned for a full refund within thirty (30) days of delivery, subject to proof of purchase and return in original condition and packaging. 


  1. Items must be unused, and in the same condition as received. Refunds will not be granted for opened, tampered with, or activated devices, unless deemed defective. To initiate a return, you must contact Ryder at support@ryder.id. If your return is accepted, we will send you a return shipping label and instructions on how and where to send the package. Items returned without prior approval will not be accepted. If a product is defective, damaged, or incorrect upon delivery, you must notify Ryder immediately upon receipt to be eligible for an exchange or return. Products found to be defective under normal use may also be eligible for replacement under Ryder’s one-year limited warranty, which covers manufacturing defects but excludes wear and tear, accidental damage, or misuse. All approved refunds will be processed within ten (10) business days of confirmation, via the original payment method where feasible. Processing times may vary depending on your financial institution. If more than fifteen (15) business days have passed since your refund was approved, please contact support@ryder.id. Refunds for returns will be issued after Ryder has received and inspected the returned products. If you prefer to be refunded by different means, please contact us to make arrangements.


European Union 14-Day Cooling-Off Period: If merchandise is shipped to the European Union, you have the right to cancel or return your order within fourteen (14) days, for any reason and without justification. As above, the item must be in its original condition and packaging, with proof of purchase.


  1. Subscriptions and Billing: Ryder One does not currently offer Subscription-based Services. However, certain Services or features may in the future require the payment of fees, which may include one-time purchases, recurring Subscription fees, maintenance charges, or fees related to transactions, events, or premium functionalities accessible through the Ryder App or affiliated Services.

All fees are payable in the currency and through the payment methods specified on the Platform and are inclusive or exclusive of applicable taxes as stated. Ryder reserves the right to change pricing, fee structures, and payment terms at any time with reasonable notice to Users, unless prohibited by law.


If any Services are offered on a Subscription basis in the future, Users will be required to expressly consent to recurring charges and may cancel such Subscriptions at any time, subject to the applicable cancellation policy. Unless otherwise required by law, no refunds will be issued for partial Subscription periods or unused features.


Ryder may rely on third-party payment processors to manage billing and transactions. Any payment information collected will be processed securely in accordance with industry standards and the privacy policies of the relevant providers.

  1. Transaction limits: Transaction limits for fiat conversions or other services may be imposed by third-party providers. Users are responsible for reviewing and complying with the applicable limits and terms of those providers. Ryder One does not control or influence these limits.


Third Party and External Services

  1. Third-Part Services: The Platform may contain links to, or interoperate with, third-party services, products, websites, software, decentralised applications, or protocols (collectively, “Third-Party Services”), which are not owned or controlled by Ryder. Access to and use of such Third-Party Services is governed exclusively by the terms and conditions and privacy policies of the respective third parties. Ryder makes no representations or warranties whatsoever regarding any Third-Party Services, including their accuracy, availability, reliability, legality, or security. You acknowledge and agree that Ryder shall not be liable or responsible for any loss, damage, liability, or claim arising from or relating to your use of, reliance on, or interaction with any Third-Party Services, even if accessed through the Ryder App, Ryder One or any of the Platform. Ryder reserves the right to disable or remove access to any Third-Party Services, integrations, or functionality at any time, with or without notice, and without incurring any liability.


  1. Export Restrictions: Users are responsible for ensuring that the import, export, and use of our Products comply with the laws of their jurisdiction. Ryder One is not liable for any customs seizures, regulatory issues, or penalties arising from international shipments or use in restricted regions. Ryder reserves the right to restrict access to its Services based on jurisdictional limitations.


  1. Site Availability and Accuracy: While we strive to ensure continuous access and accurate information on our Website, Ryder One does not guarantee uninterrupted Service or error-free content. We reserve the right to modify, suspend, or discontinue any part of the Website or Services at any time without notice.


Intellectual Property and Data 

  1. Intellectual Property Rights: All intellectual property rights in and to the Services, including but not limited to the Ryder App, Ryder One hardware, TapSafe protocol, software code, interfaces, designs, trademarks, service marks, logos, and documentation, are owned or licensed by Ryder and are protected under applicable intellectual property laws. Nothing in this Agreement grants any licence or right to the User in respect of Ryder’s IP, except for the limited, non-exclusive, non-transferable licence to use the Services in accordance with this Agreement. Users shall not reproduce, copy, modify, distribute, or create derivative works of any part of the Services without Ryder’s prior written consent.


All feedback, suggestions, or ideas submitted by Users in relation to the Services may be used freely by Ryder without any obligation to compensate the User, and shall become the exclusive property of Ryder upon submission.


  1. Privacy and Personal Data: Ryder is committed to protecting User privacy and complies with applicable data protection laws, including the PDPA 2012 of Singapore.


Ryder only collects and processes Personal Data necessary for the provision of the Services, including wallet setup, technical support, and security functions. By using the Services, Users consent to such collection, use, and processing in accordance with Ryder Privacy Policy, which forms part of this Agreement.


Ryder implements appropriate technical and organisational measures to protect Personal Data from unauthorised access, disclosure, or misuse. Users have rights under the PDPA 2012 of Singapore, including the right to access, correct, and request deletion of their Personal Data, subject to legal and operational constraints.

  1. Cookie Policy: Ryder may use cookies, web beacon and other similar technologies for purposes including but not limited to provide necessary Website functionality, improve Your experience, and analyse Our traffic. Users agree to allow Ryder to use cookies for such purposes by accessing the Website. Users have the ability to decline cookies by changing the settings on their browser, but this might prevent You as a User from benefiting from the full experience of the Website. Users can also consult or destroy cookies if they wish, since they are stored on their hard disk.


Disclaimer and Risk Acknowledgements

  1. Disclaimer of warranties and risk acknowledgement: Users acknowledge and agree that:

    1. The Ryder One is a non-custodial device designed to enable secure, self-managed storage of digital assets. Ryder does not store, have access to, or recover Private Keys or seed phrases on behalf of Users;

    2. The use of the Platform involves inherent risks including, but not limited to, cryptographic system failures, unauthorised access, technical vulnerabilities, token volatility, and loss of Private Keys. Users are solely responsible for taking all appropriate steps to safeguard their credentials and digital assets;

    3. Ryder provides the Platform and its components “as is” and without warranties of any kind, either express or implied, except as required under applicable Singapore law; and 

    4. Ryder shall not be liable for any indirect, consequential, incidental, punitive, or special damages arising from or in connection with the use or inability to use the Platform, including but not limited to, loss of assets, profits, or data, even if advised of the possibility of such damages.


  1. Risk Factors: By acquiring, holding, and using Ryder One, the Ryder App, TapSafe, or any related Services, the User expressly acknowledges and assumes the risks set out in Appendix A herein. 


  1. General Disclaimer: Ryder does not administer, oversee, govern, facilitate, or assume any responsibility for secondary markets in which digital assets may be traded, nor does Ryder assume any responsibility for the manner in which Users utilise the Ryder One, Ryder App, TapSafe, or related Services. The User, and any third party to whom the User transfers access or associated digital assets, shall not hold Ryder liable for any losses sustained in connection with their usage of or dealings involving the Products or Services. Ryder does not guarantee the accuracy, completeness, or reliability of any information provided on its Website, and the User bears sole responsibility for reliance on such information, including the risks outlined in Appendix A below.  


  1. Products Disclaimer: Ryder shall not be liable in any way to any User whether in contract, tort (including negligence or breach of statutory duty) or otherwise for any loss, damage or liability incurred or sustained by the User arising out of or in connection with the User’s purchase and/or usage of any Products or Services. 


Disclaimer for Payments: This disclaimer applies to your payments made via the Website, store, or any authorised sales channels, and is in addition to any other disclaimers set out in this Agreement. Whilst Ryder uses all reasonable efforts to ensure that the details, descriptions, and pricing of Products listed on its sales platforms are accurate, errors may occasionally occur. In such instances, Ryder reserves the right to refuse or cancel any order at any time and for any reason, including but not limited to: unavailability of a Product or Service; inaccuracies in pricing or Product descriptions; errors in the processing of your order; suspected unauthorised or unlawful transactions; or any other reason, without incurring liability to you.


  1. Disclaimer for Delivery of Products: Where payment is successfully processed, Ryder One will be dispatched to your address indicated at the time of the purchase on the Website. As above, you consent to the collection, use and disclosure of the information referred to under Clause 10, including your address and any other information relevant to the delivery of Ryder One to you. You further consent to us forwarding such personal information to third parties such as first mile, forwarder and fulfilment service providers in order to deliver Ryder One to you, in accordance with the Ryder Privacy Policy. 


We aim to deliver Ryder One to you at the place of delivery requested by you in your order acknowledgment and the delivery date and time indicated by Us at the time of your order checkout. We may notify you if we expect to be unable to meet our estimated delivery date, but, to the extent permitted by law, we shall not be liable to you for any losses, liabilities, costs, damages, charges or expenses arising out of late delivery. Upon delivery of Ryder One, you may be required to sign for delivery. If you have not received Ryder One but the order status is showing as ‘delivered’ on the Website, please contact us and we will advise you accordingly. Please note that it might not be possible for us to deliver to some locations in which case we may cancel the order or suggest an alternative delivery address. Ryder One will be delivered in our standard packaging and you acknowledge that Ryder One are standard and not made bespoke to fit any particular requirements that you may have. All risk in Ryder One shall pass to you upon delivery. From the time when risk passes to you, we will not be liable for loss or destruction of Ryder One. If you are not available to take delivery or collection, we will attempt to contact you. 


  1. Exclusion of liability: Ryder hereby expressly disclaims its liability, and shall in no case be liable to any person or User, for:


  1. The User’s use of Products or Services in a manner that breaches anti-money laundering, counter-terrorism financing, sanctions, or other regulatory requirements applicable in any jurisdiction;


  1. The User’s breach of any representation, warranty, obligation, or other provision of this Agreement, including any resulting loss of access to digital assets or failure to use the Ryder One, Ryder App, or TapSafe as intended; 


  1.  Any transaction conducted by the User using Ryder One or the Ryder App that contravenes laws or regulatory obligations, whether relating to digital assets or otherwise;


  1. The User’s inability to access or recover digital assets due to loss, mismanagement, or failure to securely store their recovery phrase, PIN, or other security credentials; 


  1. Any interruption or termination of Ryder Services, including Product offerings or app functionality, whether due to technical issues, commercial decisions, or regulatory concerns;


  1. Any defect, bug, flaw, or vulnerability in the firmware, software, or hardware of Ryder One or the Ryder App;


  1. Malfunction, delay, fork, or failure of any supported blockchain networks that results in loss of assets or inability to transact;


  1. Failure of the Ryder One or the Ryder App to meet any particular expectations, or their unfitness for a specific purpose;


  1. Use or misuse of Ryder hardware or Services resulting in loss, theft, or compromise of User assets or information;


  1. Non-disclosure or delayed disclosure of updates relating to the Ryder One, TapSafe, or any Service feature or security mechanism;


  1. Any issue, including fraud, negligence, Service suspension, or insolvency of third-party service providers involved in payment processing, shipping, or cryptocurrency transactions;


  1. Any incompatibility or technical failure involving third-party apps, wallets, or blockchains used in conjunction with Ryder One or the Ryder App;


  1. Any speculative trading, market volatility, or value loss of digital assets stored or transacted using Ryder One;


  1. Any classification or treatment by a regulatory authority of digital assets as securities, currency, or regulated instruments, which may subject Users to additional restrictions, penalties, or obligation;


  1. Realisation of any risks disclosed in this Agreement, including any damage, loss, claim, liability, or cost resulting therefrom; and


  1. For the avoidance of doubt, Ryder disclaims, in full, all liability for any direct, indirect, incidental, or consequential loss or damage arising from the use, acquisition, custody, or transaction of digital assets through Ryder hardware or software, or from reliance on information provided through the Platform.


  1. Limitation of Liability: To the maximum extent permitted by law, Ryder shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of funds, profits, goodwill, use, data, or other intangible losses, arising out of or in connection with:

  1. User’s use or inability to use the Ryder One, Ryder App, TapSafe, or other Platform features;

  2. Loss of digital assets due to User error, mismanagement of credentials, failure to back up recovery phrases, or failure to configure TapSafe appropriately;

  3. Security breaches or cyberattacks not directly attributable to a defect in the Products or Services;

  4. Regulatory changes or restrictions that impact the availability, legality, or functionality of the Platform or your digital assets; and

  5. Third-party service providers or integrations, including shipping providers, payment gateways, blockchain networks, or decentralised applications.


In any event, Ryder’s total aggregate liability for claims arising out of or in connection with these Terms shall not exceed the amount paid by you to Ryder in the twelve (12) months preceding the event giving rise to such liability

  1. No Warranty: Notwithstanding anything contained in this Agreement, Ryder makes no warranty whatsoever with respect to Ryder One, Ryder App, TapSafe, or any associated Services including any (i) warranty of merchantability; (ii) warranty of fitness for a particular purpose; (iii) warranty against infringement of intellectual property rights of a third party, whether arising by law, course of dealing, course of performance, usage of trade or otherwise, except as expressly set forth herein. The User acknowledges that it has not relied upon any representation or warranty made by Ryder on the Website or by way of any publicly disseminated statement, article, report or in any written form, or by any other person on Ryder’s behalf. 


  1. No Agency: The use of the Ryder One, Ryder App, TapSafe, or any related Platform or Services by the User shall not, under any circumstances, be construed as creating any agency, partnership, joint venture, or other form of legal association between the User and Ryder. Neither Party shall have the authority to assume, create, or incur any obligation or liability, whether express or implied, on behalf of the other, nor to act as a representative or agent of the other Party by virtue of using the Ryder Services or Platform.


  1. Indemnification: User agree to indemnify, defend, and hold harmless Ryder, its affiliates, employees, directors, officers, contractors, licensors, and agents from and against any and all claims, losses, liabilities, damages, penalties, expenses, and costs (including reasonable legal fees) arising from or in connection with:

  1. User’s use or misuse of the Platform, Ryder One, or Ryder App;

  2. Any breach of these Terms by you or any person using your device or wallet credentials;

  3. User’s violation of applicable laws, regulations, or rights of third parties (including intellectual property, data protection, or financial service laws); and

  4. Any unauthorised or malicious use of TapSafe, seed phrases, or other recovery mechanisms attributable to you.


Ryder reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Ryder in the defence of such claim


  1. Self-regulation: The User shall ensure that their use, promotion, advertising, and engagement with the Ryder One device, Ryder App, TapSafe, and all related Services or features do not contravene any applicable laws, regulations, or official orders in any relevant jurisdiction. Without prejudice to the generality of the foregoing, the User shall further ensure that their use of the Products and Services is in full compliance with applicable financial, consumer protection, data privacy, export control, and cybersecurity laws, and shall not result in any breach of regulatory frameworks such as the PSA 2019 or other relevant statutes, including those applicable in the Republic of Singapore.


  1. Warranties: Ryder represents and warrants to, and for the benefit of, the User the statements set out in Part A of Appendix B herein, and the User likewise represents and warrants to, and for the benefit of, Ryder the statements set out in Part B of Appendix B herein. The User undertakes to notify Ryder immediately if any of their representations or warranties under this Agreement become untrue, inaccurate, or misleading in any respect. Any breach by the User of the representations or warranties may result in Ryder, at its sole discretion, suspending or terminating the User’s access to the Platform and/or associated Services, without prejudice to any other remedies available to Ryder under applicable law. In addition, Ryder provides a limited warranty that the Ryder One device shall be free from material defects in materials and workmanship under normal use for a period of one (1) year from the date of delivery. This limited warranty covers manufacturing defects only and does not extend to damage or malfunction resulting from misuse, neglect, unauthorised modification, exposure to liquids or extreme environments, accidental loss or theft, or failure to comply with operating instructions. For full warranty terms, including eligibility, claims procedures, and exclusions, Users should contact Ryder’s customer support. Except as expressly stated herein, and to the maximum extent permitted by applicable law, Ryder disclaims all other warranties, whether express, implied, or statutory, including, without limitation, any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement.

  2. Termination: Ryder may terminate this Agreement immediately by written notice, without penalty or payment of termination charges, if the User is in breach of any of the Terms of this Agreement, or if the User fails to meet Ryder’s KYC standards and requirements. For the avoidance of doubt, unless expressly stated otherwise in this Agreement, termination shall not entitle the User to any refund of payments made in relation to the Ryder One, the Ryder App, or any affiliated Services except as may be determined at the sole and exclusive discretion of Ryder.


  1. Remedies and Waivers: No failure on the part of any Party to this Agreement to exercise, and no delay on its part in exercising, any right or remedy under this Agreement will operate as a waiver thereof, and any single or partial exercise of any right or remedy shall not preclude any other or further exercise thereof or the exercise of any other right or remedy. The rights provided in this Agreement are cumulative and not exclusive of any rights or remedies provided by law.


  1. Severability: If any term or provision of this Agreement is held to be illegal, invalid, or unenforceable, in whole or in part, under any enactment or rule of law, such term or provision or part shall to that extent be deemed not to form part of this Agreement but the legality, validity or enforceability of the remainder of this Agreement shall not be affected.


  1. Assignment: The User will not assign its rights under this Agreement to any individual or corporate or affiliate.  Any assignment of this Agreement by the User, by operation of law or otherwise, or any interest herein or any payment due or to become due hereunder, without the prior written consent of Ryder shall be void.

All communications must be submitted in English. Ryder endeavours to respond to legitimate and clearly stated queries within a reasonable time, but does not guarantee any specific turnaround time. Please do not include sensitive information (such as Private Keys or recovery phrases) in your communications. Ryder will never ask you to disclose such credentials. 


For support relating to wallet access, device setup, TapSafe recovery, or technical issues, Users are encouraged to consult the official support resources available via the Ryder App or the Website prior to contacting the support team. 


  1. Governing Law: This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of Singapore. 


  1. Dispute Resolution:  All disputes, controversies, claims or disagreements arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, breach or termination, shall be settled amicably through good faith discussions between the Parties. If the Parties fail to reach an amicable resolution of the dispute within thirty (30) days from the date of their first meeting to resolve the dispute, any Party may submit the dispute for mediation. The dispute shall be submitted to the Singapore International Mediation Centre (SIMC) for resolution by mediation in accordance with its Mediation Procedure then in force. The Parties agree to participate in the mediation process in good faith and to make reasonable efforts to reach a mutually acceptable resolution. Any settlement reached through such mediation shall be final, binding, and enforceable as a contract under applicable law.


If the Dispute is not resolved within sixty (60) days from the commencement of mediation, or if the mediation is otherwise unsuccessful, either Party may submit the Dispute to the exclusive jurisdiction of the courts of the Republic of Singapore. Notwithstanding the foregoing, Ryder reserves the right to seek interim, injunctive or equitable relief in any court of competent jurisdiction, where such relief is necessary to protect its intellectual property, confidential information, or data security interests. 


  1. Amendments:  Ryder reserves the right to amend, modify, or update this Terms at any time, at its sole and absolute discretion, without prior reference or notice to the User. Any such amendments shall take effect immediately upon being published on the Website or through the Ryder App, unless otherwise stated. It is the Users responsibility to review these Terms periodically for updates. Continued access to or use of the Ryder One, the Ryder App, or any affiliated Services following the posting of any amendments constitutes your acceptance of the modified Terms. Where required, such acceptance will be obtained through an in-app prompt requiring you to explicitly accept or reject the updated Terms. If you do not agree to the revised Terms, you must immediately cease all use of Ryder One, the Ryder App, and any affiliated Services. You may contact Ryder for further assistance, where applicable. No oral or written statement, representation, or communication by any employee, representative, or affiliate of Ryder shall be deemed to modify or amend these Terms unless expressly incorporated through a formally published revision by Ryder.

  2. Survival: Notwithstanding the termination or expiration of this Agreement, and except as otherwise stated in this Agreement, those obligations contained herein that by their terms or nature are intended to survive such termination or expiration shall do so and shall be binding upon the Parties and their legal representatives, heirs, successors, and assigns.

 

  1. Third Party Rights: A person who is not party to this Agreement has no rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any term of this Agreement, but this does not affect any right or remedy of a third party which exists or is available apart from the said Act.

Risks

Risk of losing access to your crypto assets due to loss or compromise of private keys

  1. A private key or a combination of private keys, is necessary to control and access the cryptocurrency stored in your Ryder One wallet. Loss or destruction of the private key(s) associated with your Ryder One wallet will result in permanent loss of access to your cryptocurrency. Similarly, if a third party gains access to your private key(s) for example, through theft, loss, or compromise of your Ryder One device or its backup, they may be able to misappropriate your cryptocurrency. You are responsible for securely storing and backing up your private keys. Transactions made with your private keys are irreversible, and any loss caused by errors or fraud cannot be recovered. 


Risks associated with Ryder One


  1. As Ryder One is a physical device, it may be subject to loss, theft, damage, or malfunction. Physical damage or technical faults in the Ryder One device could lead to loss of access to your cryptocurrency. It is your responsibility to take appropriate precautions to safeguard your hardware wallet.


  1. The security of your funds depends heavily on the safe use and custody of your Ryder One wallet and its backup. Failure to follow recommended security practices including protecting your recovery phrase and PIN, may result in loss or theft of your assets. Ryder One will erase its contents after the PIN is entered wrongly 10 times or as otherwise determined by Ryder from time to time. 



Risk of related to blockchain networks


  1. Ryder One supports interactions with various blockchain networks. Malfunctions, delays, or technical issues affecting these networks may impact your ability to use or transfer your cryptocurrency. Advances in technology or cryptography could also pose future risks to the security of blockchain networks and assets. 

  2. Transaction fees on supported blockchain networks can fluctuate significantly. High fees may affect the cost and feasibility of transacting with your cryptocurrency stored via Ryder One


Risk of hacking and security weaknesses


  1. Although Ryder One is designed with robust security features, no device or system is immune to hacking or cyber-attacks. Malicious actors may attempt to exploit vulnerabilities to gain unauthorised access to your assets. You should remain vigilant and follow security best practices to protect your device and information. You are responsible for educating yourself on protecting your personally identifiable information and on cybersecurity best-practices. Ryder will take all steps that are commercially reasonable and customary to prevent or mitigate the impact of cyber-attacks. However, there can be no guarantee that Ryder will be successful in preventing all cyberattacks on its systems.


Risks of markets volatility and value fluctuations


  1. The value of cryptocurrencies stored on your Ryder One device can be extremely volatile and may decrease significantly in a short period of time. This volatility is influenced by a wide range of factors, including market speculation, regulatory developments, technological advancements, macroeconomic trends, geopolitical events, and broader public sentiment towards digital assets. As a result, the market value of your holdings may fluctuate rapidly and unpredictably. You should be aware that the entire value of your cryptocurrency assets could potentially diminish or become worthless, and Ryder One bears no responsibility for any resulting financial loss.


Risks of uninsured losses


  1. Unlike bank accounts or accounts at some other financial institutions, Ryder One is uninsured unless you specifically obtain private insurance to insure them. Thus, in the event of loss or loss of utility value, there is no public insurer or private insurance arranged by us, to offer recourse to you. 


Risks associated with uncertain regulations and enforcement actions


  1. The regulatory status of cryptocurrencies, blockchain technology, and devices like Ryder One remains uncertain or unsettled in many jurisdictions. It is difficult to predict how or whether regulatory authorities will apply existing laws to the use, storage, or transfer of digital assets using hardware wallets. Legislative changes or new regulatory enforcement actions could impact your ability to use Ryder One, or restrict certain features of the device in particular countries. Ryder One cannot guarantee ongoing compliance with all legal frameworks worldwide and disclaims responsibility for any consequences arising from changes in law or regulation affecting your use of the device or your access to cryptocurrencies.


Risks arising from Taxation


  1. The tax treatment of cryptocurrencies stored or transacted using Ryder One may vary depending on your jurisdiction and personal circumstances. Tax authorities may consider cryptocurrency holdings as assets, income, or other forms of taxable property. You are solely responsible for determining your tax obligations and should seek independent tax advice. Ryder One does not provide tax guidance and is not responsible for any tax liabilities or reporting requirements resulting from your use of the device.


Risk of an unfavourable fluctuation of currency values


  1. The value of cryptocurrencies stored on Ryder One may be subject to significant fluctuations due to market dynamics, economic conditions, or other external factors. A decline in the value of digital assets could result in a substantial or total loss of value. Ryder One does not influence the price or stability of any cryptocurrency and assumes no responsibility for any loss in value that may affect your holdings due to market volatility or currency devaluation. 


Risks of disruption or dissolution of Ryder One 


  1. Ryder One is a hardware-based technology product that depends on continuous software and firmware support, as well as technical infrastructure for updates, maintenance, and customer support. Although the team behind Ryder One will make every reasonable effort to maintain Service and Product continuity, there can be no assurance against unforeseen operational disruptions. These may arise due to changes in market conditions, supply chain failures, financial constraints, or other factors beyond Ryder One’s control. In extreme cases, this could affect your ability to receive updates or support in the future.


Risks arising from lack of governance rights


  1. The purchase or use of Ryder One does not grant you any governance, equity, or voting rights in Ryder or its affiliates. All strategic, technical, or commercial decisions regarding Ryder One’s development, features, and continued operation are made solely at the discretion of Ryder. Users of the Ryder One device do not have influence over its roadmap or business direction.


Unanticipated risks


  1. The use of cryptocurrencies and hardware wallets like Ryder One involves emerging technologies that may pose unforeseen risks. In addition to the risks mentioned above, new types of security threats, legal challenges, or operational vulnerabilities may emerge over time. These risks may arise from evolving technologies, user behaviour, integration with third-party services, or systemic market issues. By using Ryder One, you accept that there may be additional, unknown risks that could affect the safety, accessibility, or usability of your digital assets. 



 

Appendix B 


Part A: Ryder’s Representations and Warranties


  1. AUTHORITY AND CAPACITY OF RYDER


  1. Incorporation


Ryder is a company duly incorporated and validly existing under the laws of Singapore.


  1. Authority to enter into this Agreement etc.


Ryder has the legal right and full power and authority to enter into and perform this Agreement, which when executed will constitute valid and binding obligations on Ryder, in accordance with its terms.


  1. No Breach


The execution and delivery of, and the performance by Ryder of its obligations under, this Agreement will not and are not likely to:


  1. result in a breach of any provision of the memorandum or articles of association, constitution, or by-laws of Ryder; or


  1. result in a breach of, or give any third party a right to terminate or modify, or result in the creation of any encumbrance under, any agreement, license or other instrument or result in a breach of any order, judgment or decree of any court, governmental agency or regulatory body to which Ryder is a party or by which Ryder or any of its assets is bound.


  1. Authorisation


All corporate action required by Ryder validly and duly to authorise the entering of and delivery of, and to exercise its rights and perform its obligations under, this Agreement and any other documents to be executed by Ryder pursuant to or in connection with this Agreement has been duly taken. 



Part B: The User’s Representations and Warranties 


  1. The User is not a citizen or resident of a country, whose legislation conflicts with the terms of access to the Ryder One, the Ryder App, or the usage of the Platform in general.


  1. The User acknowledges and agrees that his/her decision to purchase, use, or interact with the Ryder One, the Ryder App or/and any related Services is based primarily on his/her independent evaluation of the merits and risks, taking into account the risk disclosures in Appendix A of this Agreement. 

  

  1. Where the User is a company or association or body of persons, corporate or unincorporated (i) it is duly incorporated and validly existing under the laws of its country of incorporation; (ii) it has the legal right and full power and authority to enter into this Agreement, which when executed will constitute valid and binding obligations on such User; and (iii) it is not prohibited by its constitution or any applicable laws from entering into this Agreement.


  1. The User has a deep understanding of the functionality, usage, storage, transmission mechanisms and intricacies associated with cryptographic wallets, and blockchain networks and decentralised applications.

  

  1. The User has carefully reviewed any relevant documentation and fully understands and accepts the functions and limitations of the Ryder One, the Ryder App and the Platform. 


  1. The User is legally permitted to receive and hold digital assets or cryptocurrencies in the User’s jurisdiction.


  1. The User is of a sufficient legal age to enter into binding agreements and to use the Platform and its Services.  


  1. The User shall  take sole responsibility for any restrictions and risks associated with the use, storage, or transfer of digital assets via the Ryder One and related Services as set forth in this Agreement. .


  1. The User is not using Ryder One, the Ryder App or the Platform for any illegal purposes including money laundering, terrorism financing or any fraudulent activities. 


  1. The User understands that Ryder One and associated Services do not constitute investment advice, custodial services or any regulated financial service.  


  1. The User  understands and acknowledges the risks involved in the transfer, storage, and use of digital assets, including but not limited to technological failures, regulatory changes, and market volatility as further set forth in this Agreement.


  1. The User  understands and expressly accepts that the Ryder One, the Ryder App, and the Platform are provided "as is," without warranties of any kind, express or implied, to the extent permitted by law. 


  1. The User understands that a user of the Ryder One has no right against any other party to demand any refund or compensation except as expressly stated in this Agreement under any circumstance.


  1. The User understands and accepts  that the value of any digital asset held or used via the Ryder One hardware wallet or related Services may fluctuate significantly or depreciate fully. 


  1. The User is responsible for understanding and complying with any tax obligations arising from their use of the Ryder One, the Ryder App, and related Services and agrees not to hold Ryder liable for any tax liabilities .   


  1. The User represents and warrants that they possess sufficient knowledge, experience, and understanding of business, financial matters, and digital asset technologies to evaluate the risks and merits of using the Ryder One, the Ryder App, and associated Platform Services. The User acknowledges that they have reviewed all relevant documentation, including but not limited to user guides, disclaimers, and risk disclosures provided by Ryder, and have made an informed decision to use the Platform and Products. The User accepts full responsibility for all risks associated with such use, including, without limitation, technological failures, security vulnerabilities, and regulatory changes . 


  1. RYDER RESERVES THE RIGHT TO REQUEST USERS TO PROVIDE EVIDENCE TO VERIFY THEIR IDENTITY.


  1. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE USER ASSUMES ALL RISK AND LIABILITY FOR THE RESULTS OBTAINED BY  THE PURCHASE AND USE OF RYDER ONE AND REGARDLESS OF ANY ORAL OR WRITTEN STATEMENTS MADE BY THE COMPANY, BY WAY OF TECHNICAL ADVICE OR OTHERWISE, RELATED TO THE USE OF THE RYDER ONE.  


  1. The User acknowledges that they have no right of recourse against Ryder or any third party except in the event of Ryder’s breach of this Agreement or gross negligence. NEITHER RYDER NOR ITS REPRESENTATIVES SHALL BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, OR DIMINUTION IN VALUE, ARISING OUT OF OR IN CONNECTION WITH ANY BREACH OF THIS AGREEMENT OR THE USER’S USE OF THE RYDER ONE, THE RYDER APP, OR ANY OTHER SERVICES PROVIDED BY THE PLATFORM


  1. The User has full legal capacity, power and authority to enter into this Agreement and to perform its obligations hereunder. 


  1. This Agreement constitutes a valid and binding obligation on the User.

  

  1. The entry of the User into this Agreement is not contrary to any laws in force in the User’s country of origin or jurisdiction of nationality or domicile.
